Mark K. Velasco, Of Counsel

Mark practices in the areas of technology, data protection and privacy, intellectual property, and business transactions. Mark has extensive experience in healthcare information technology, having worked with clients in negotiating eHIS (Enterprise Health Information System) and EHR (electronic health record) transactions with industry leaders.

Recently, Mark has been helping clients with the complexities of the American Recovery and Reinvestment Act of 2009 (ARRA) in order to obtain the EHR incentives and comply with the updated HIPAA provisions under the Health Information Technology for Economic and Clinical Health (HITECH) Act. Mark has supported chief information officers and chief compliance officers in assessing the impact of privacy and security issues and Stark and Anti-Kickback regulations on the donation, adoption and sharing of EHRs.

Mark also assists clients with data protection and privacy, including state security breach notification laws and data breach notification requirements under HIPAA as supplemented by the HITECH Act. He is a frequent lecturer on the HITECH Act and its implications to healthcare providers.

Clients rely on Mark's technology and intellectual property experience for software licensing, custom Internet, private network and telecommunications services agreements, information technology outsourcing, domain disputes, trademark and brand strategy, and copyrights.

Mark's business transactions practice includes securities compliance work for clients who conduct offerings that are exempt from federal registration, incorporating compliance with "blue-sky" laws and regulations. He has prepared disclosure documents, rescission offers, and negotiated with state securities regulators on his clients' behalf. Clients also rely on Mark for traditional corporate and business legal advice, including the acquisition and sale of businesses, shareholder agreements, employment agreements, and corporate governance.

Mark's legal career includes technology industry experience. Mark served as General Counsel of CompuServe Network Services where he was chief legal officer responsible for the legal affairs of an Internet and private network company with annual sales of approximately $750 million.

Mark's experience negotiating with industry leaders both as a private practice attorney and as in-house General Counsel gives him additional perspective in counseling clients in technology and business transactions. He strives to provide practical and efficient legal advice, regardless of the complexity of the technology or transaction.
